Subject: Year 2000 Compliance

We have begun preparation for the Year 2000 (Y2K). We do not anticipate any Y2K problems in our internal computer operations. Our RS/6000 computer, AIX Operating System, Pick D3 database and Prelude software have been declared Y2K compliant by their respective manufacturers.

Another area in which Y2K issues arise is in respect of the products we sell. As you know, Burtek Systems Inc. is primarily a distributor and we do not manufacture the products we sell. For the majority of products we sell, the manufacture by his choice supplies the warranty. Consequently, we do not control whether or not those products are Y2K compliant and are not in a position to warrant that the products you purchase from us are Y2K compliant. We cannot accept any liability with respect to Y2K issues relating to the products we sell. Thus we hereby reject any terms and conditions of purchase from you previously, now, or hereafter submitted to us that (i) provide for any representation or warranty by us as to Y2K compliance of the products we sell, or (ii) purport to hold us responsible or liable for the Y2K compliance of the products we sell, or (iii) in any manner or extent provide for our indemnification of you with respect to Y2K issues.

As a distributor we will pass on to you the benefits of any warranties with respect to Y2K compliance we receive from our suppliers. We are instituting a program to make our suppliers aware of the need to assure that their products are Y2K compliant. It is our goal that they will represent and warrant their products to be Y2K compliant.
